Terms of Service

1. Acceptance of Terms

By accessing or using any service provided by TechShield MSP ("Company," "we," "us," or "our"), including our website at techshieldmsp.us, our client portal, or any managed IT service, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

These Terms apply to all visitors, clients, and users of TechShield MSP's services and website. Use of our services constitutes your binding agreement to these Terms and all applicable laws and regulations.

2. Services Provided

TechShield MSP provides managed IT services, cybersecurity solutions, cloud management, network support, on-site repair, remote technical support, web design, WordPress setup, VoIP services, and related technology services. The specific scope of services delivered to each client is governed by the applicable service agreement or plan selected at enrollment.

  • Managed Service Plans — Monthly subscription plans covering monitoring, helpdesk access, and proactive maintenance as described in the selected plan tier.
  • On-Site & Remote Support — Technical support delivered either remotely or at your location within our service area (Canton, GA; Jasper, GA and surrounding areas).
  • One-Time Services — Project-based or per-incident work billed at the agreed rate prior to commencement.
  • Web & VoIP Services — Website design/development and hosted VoIP telephone services provided under separate service addenda.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients.

3. Client Accounts & Responsibilities

To access the client portal or certain services, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access.
  • Not share login credentials with unauthorized individuals.
  • Ensure your systems comply with applicable laws and are free of illegal content prior to requesting support.
  • Grant our technicians reasonable access (remote or physical) necessary to deliver the contracted services.
  • Maintain backups of your critical data. While we may provide backup services, the ultimate responsibility for data retention lies with the Client.

You are responsible for all activity that occurs under your account. TechShield MSP is not liable for loss or damage arising from your failure to comply with these requirements.

4. Payment & Billing

Managed Plan Fees: Monthly subscription fees are billed in advance on the same day each month. Fees are due at the time of billing. All prices are in USD.

One-Time Services: Project or per-incident fees are due within 30 days of invoice unless otherwise agreed in writing. Work may not commence until a deposit or full payment is received, as specified in the project quote.

Late Payments: Accounts more than 15 days past due may be subject to a 1.5% monthly late fee. Services may be suspended for accounts more than 30 days past due.

Taxes: All fees are exclusive of applicable taxes (sales tax, GST, etc.), which will be added where required by law.

Price Changes: We will provide at least 30 days written notice before changing subscription fees. Continued use of services after the effective date constitutes acceptance of the new pricing.

5. Cancellation & Refunds

Monthly Plans: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued for early cancellation unless required by applicable law.

Annual Plans: Annual plans cancelled within the first 30 days are eligible for a prorated refund of unused months. Cancellations after 30 days are non-refundable.

One-Time Services: Work that has already been performed is non-refundable. If work has not yet commenced, any deposit may be refunded less a 10% administrative fee.

Service Dissatisfaction: If you are not satisfied with the outcome of a service, please contact us within 7 days. We will make commercially reasonable efforts to correct the issue at no additional charge.

6. Intellectual Property

All content on this website — including text, graphics, logos, icons, images, and software — is the property of TechShield MSP or its content suppliers and is protected by applicable copyright, trademark, and intellectual property laws.

Custom work product created specifically for a client (e.g., website designs, custom scripts) becomes the client's property upon full payment. General tools, frameworks, templates, and internal methodologies remain the property of TechShield MSP.

You may not reproduce, distribute, modify, or create derivative works from our proprietary content without express written permission.

7. Limitation of Liability

To the maximum extent permitted by applicable law, TechShield MSP shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising from:

  • Your use of, or inability to use, our services.
  • Unauthorized access to or alteration of your transmissions or data.
  • Third-party malware, ransomware, or cyberattack, even if we provided security services.
  • Hardware failure, data loss, or system damage.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of: (a) the total fees paid by you in the three months preceding the event giving rise to the claim, or (b) $500 USD.

Some jurisdictions do not allow limitations on certain implied warranties or exclusion of certain damages; in such cases, our liability is limited to the greatest extent permitted by applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless TechShield MSP, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you submit to us.

9. Termination

We reserve the right to suspend or terminate your account and access to services immediately, without prior notice, for:

  • Non-payment of fees after a 15-day cure period.
  • Breach of any provision of these Terms.
  • Illegal use of our services or systems.
  • Conduct that is abusive, threatening, or harmful to our staff or systems.

Upon termination, your right to access the client portal ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, liability limitations, and indemnification — shall continue to apply.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Cherokee County, Georgia.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

11. Changes to Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify active clients by email. Your continued use of our services after changes become effective constitutes your acceptance of the new Terms.
